First class. To give you a flavor for the issues we will be discussing over the course of the semester, please read the following for our first class on Monday:

• Training of Business Lawyers: An Academic's Perspective [by Prof. Donald Langevoort, Business Lawyer (1999)]

Primers. During the first week of classes, I will hold a couple of extra sessions (you can attend both, one, or neither). We'll work out a schedule on Monday.

• Spreadsheet primer [as used in class]
• Legal process primer [Introduction to Law: sources of law, court system, judicial process]

Second class. For Wednesday, we will work through a corporate case involving valuation issues. Please read and consider Weinberger v. UOP (Delaware Supreme Court 1983).
